Update on Auditor and Board Member

Youngtimers AG, a Basel-based Company listed in Switzerland (YTME: SIX) (the “Company”) will hold its annual general meeting on 6 August 2025 (“AGM”).

One agenda item for the AGM is the election of a new auditor. The Company and Berney Associés Audit SA, Lausanne (“Berney”), aligned that Berney is not standing for re-election as statutory auditor and group auditor at the AGM.

Discussions with several strong candidates for the auditor role are ongoing, and we are taking the necessary time to ensure the right appointment for the Company. As these discussions are still in progress, we are not yet in a position to confirm and announce the new auditor. Should the appointment not be finalized in time for the AGM, we will invite shareholders to an extraordinary general meeting to vote on the proposed auditor once the selection is complete.

In addition, the Company has had recent discussions with Ms Jue (Kirsten) Gao, and she has opted not to stand for re-election to the board of directors of the company. Ms Gao will remain General Counsel and Chief Compliance Officer of C Capital. The vote on Ms Gao’s re-election at the AGM will thus be cancelled. The Company expresses its gratitude for Ms Gao’s contributions as board member.

With the expected completion of the acquisition of all of C Capital’s subsidiaries and the Australian-based Richmond Funds Management, the board’s composition will be readjusted for strategic reasons. A new board member is expected to be announced and submitted to the vote of the shareholders in due course.
