Ad hoc announcement pursuant to Art. 53 LR

Basel (Switzerland), May 7, 2024 – Youngtimers AG, a Basel-based company listed in Switzerland (YTME: SIX), calls for the Annual General Meeting (the “AGM”). The Board of Directors of Youngtimers AG (the “Company”) has approved the agenda for the AGM to take place on May 29, 2024.

As already informed on April 30, 2024, the current Chairman, Mr. Norman Hansen, will not stand for re-election. Today, Mr. Jan Schulmeister also informed the Company that he will not stand for re-election at the forthcoming AGM. Therefore, the Board of Directors proposes to the Company’s shareholders to vote at the AGM for the re-election of Mr. Lorenzo Landini and to elect Mr. Christian Eich as a new Member and Chairman, as well as Ms. Motoko Yorozu and Mr. Renger Van Den Heuvel as new Members.

In order to execute on the new strategy and deploy the required capital, the Board of Directors proposes to the Shareholders to vote on an ordinary capital increase reserved for Strategic Partners, as well as the creation of a Capital Band in accordance with the Swiss Code of Obligations.
