Extraordinary Shareholders’ Meeting to take place on November 28, 2024

Ad hoc announcement pursuant to Art. 53 LR

Basel (Switzerland), November 6, 2024 - Youngtimers AG, a Swiss-listed company (“Company”), calls for an Extraordinary Shareholders’ Meeting (the “EGM”). The Board of Directors of Youngtimers AG (YTME, or the “Company”) has approved the final agenda for the EGM and set its date. The EGM takes place on November 28, 2024. As already informed on November 1, 2024, the Board of Directors of the Company is proposing to vote on the election of two additional Board members, Mr. Yin Pan (Ben) Cheng and Ms. Jue (Kirsten) Gao, as well as to introduce a new capital band of CHF 45’368’546.58 (upper limit) and CHF 15’122’848.86 (lower limit), authorising the Board of Directors until November 27, 2029, respectively an earlier lapse of the capital band, to increase or reduce the share capital once or several times and in any amounts within the capital band.

Furthermore, the Board proposes, by implementing a new Article 3b into the Company’s Articles of Association, to introduce a Conditional Capital of a maximum of CHF 4’536’000 (which corresponds to approx. 15% of the registered Share capital) through the issuance of a maximum of 10’800’000 new, fully paid-in bearer shares with a nominal value of CHF 0.42 each, to enable the issuance of options to members of the Board of Directors, members of the Executive Board, employees, agents, consultants or other persons, which provide services for the Company or one of its Group companies, as well as some minor additional amendments to the Company’s articles of association.
